The company

Calaa Capital is the parent company of the Calaa Global group. It decides where capital is invested, what gets built and the standard by which the result is judged, and it answers for the whole before the market, its partners and the regulator.

Tres decisiones explican cómo está construido el grupo: quién decide sobre el capital, sobre qué materia trabaja y qué se desarrolla dentro. Las tres acotan el terreno a propósito, y de ellas salen la estructura societaria, el reparto de la inversión y las oportunidades que el grupo deja pasar.

Changing one forces a review of the other two. Widening the subject matter without widening in-house capability leaves the group depending on a supplier for what it has just promised. Running faster without widening the subject matter only reaches the same ceiling sooner.

  1. A single body decides on capital

    Capital is compared across the eight units, not within each one.

    Calaa Capital appoints the management of its companies, approves their plans and decides how much capital each one receives. In three of the group's seven units the relationship is closer still, because it operates them from within. That combination sets who decides each matter, and how fast. What goes through a board in a holding company is settled within the week in a division.

  2. The group works on the sector's information

    The industry decides on data that arrives late and cannot be compared across countries.

    The group's subject is the information surrounding the car and the decisions taken with it. It covers purchase, maintenance, valuation, applicable regulation and the conditions of each market. This is a global-scale sector whose data still arrives fragmented, months late and in formats that do not allow one country to be compared with another. Closing that gap is what the group does.

  3. Intelligence is built in-house

    What one product learns is available to the next.

    Calaa, the group's intelligence layer, is developed in-house and reports to the parent with no intermediate tier. Every product incorporates it without negotiating with a supplier and without handing its information to a third party. What one product learns is available to the next, and the advantage accumulates inside the group instead of being paid for every year.

The four decisions

  1. Capital is allocated by comparison, not in isolation

    Each unit presents its plan and what it needs to execute it. The parent ranks them against one another. What advances the whole most is funded first, and the rest waits with a date. No unit can make that comparison from the inside, which is why it is the most consequential decision taken in a financial year.

  2. Managers are appointed with latitude and answer for results

    La matriz designa a quien dirige cada unidad, acuerda los objetivos del ejercicio y no interviene en cómo se alcanzan. Solo entra en dos casos: cuando una decisión compromete a otra casa del grupo y en la revisión del resultado. Una matriz que decide el día a día de sus participadas acaba siendo el cuello de botella del grupo.

  3. Eight units, one standard

    La identidad, la protección de datos, el cumplimiento normativo y la forma de medir el resultado son comunes a las ocho y no se negocian por unidad. La razón es práctica: un resultado que se mide distinto en dos casas no se puede comparar, y sin comparación la asignación de capital se toma a ciegas.

  4. From outside, the group is a single counterparty

    Before an investor, an industrial partner or a regulator, the parent answers — including for what happens in a unit whose day-to-day management is not its own. That is why the common standard of the previous point is a condition and not a matter of style. It is what makes that responsibility bearable. Whoever allocates, answers.

The two directions pair up row by row. The capital that goes down is decided on the results that come up; the latitude granted to a management team, on what that team reports. When a row on the right fails, the one to its left is taken blind.

What each commitment requires

  1. Intelligent mobility

    The group builds the data layer before the interface. An industry catalogue that is current and comparable across countries is what makes it possible to decide about a vehicle on verifiable information, when buying it, when servicing it and when selling it. Without that layer, any product of the group would be an interface over someone else's data.

  2. Sustainability

    El trabajo se concentra en el vehículo que ya circula: mantenimiento, valoración y mercado de ocasión. La mayor parte de la huella ambiental de un automóvil se produce en su fabricación, de modo que alargar su vida útil pesa más que cualquier medida sobre el vehículo nuevo. Y es, además, donde la información del sector está peor.

  3. Personalisation

    The group's products are built for several jurisdictions from day one. Applicable regulation, parts availability and the catalogue itself change on crossing a border; a product designed for a single market and adapted afterwards carries design decisions that no longer hold.

  4. Accessibility

    Part of what the group learns is published. Today, access to the sector's information depends on having the right contact inside it, and publishing is the only way for that to stop being true without asking anyone's permission. It is also the commitment that is easiest to check from outside.

The group's activity is defined over the information surrounding the car sector and the decisions taken with it. Everything else is ruled out in writing, so the boundary is applied without being reopened every time an opportunity appears.

A boundary only informs when it rules out something profitable. The one the parent has set excludes activities the group could undertake with the assets it already holds.

The hard case

Selling vehicles on the back of the catalogue the group already holds would be profitable from the first financial year, and it is ruled out. The margin would depend on moving units of someone else's product, and with it would come inventory, a sales network and a capital structure that are not this company's. The boundary is measured by that case. Manufacturing does not test it.
